Employment: Updating employee contracts

The Client was concerned that its employment contracts and Staff Handbook were out of date. In the past, they had compiled their employment policies and procedures from various unofficial sources such as Google, and as a result, these were inaccurate and didn’t comply with current legislation. The Client had no idea where to look for the correct information and was aware that if faced with an employment dispute, it could be difficult to manage. What’s more, if a dispute ended up in the Employment Tribunal, some of the Client’s out of date contracts could also be viewed as discriminatory.

Associate; Dental Practitioner
The Client was a self-employed associate at a dental practice, contracted to provide his services as a dentist. An associate agreement had been drafted between himself and the practice owner, detailing obligations on both sides, but the Client found that there were a number of complex clauses and legal jargon about which he was unsure.

Client retires with £300,000 after incorporation of Dental Practice enables her to sell practice
The Client was a dental practitioner who practised as a sole trader and held a Personal Dental Services (PDS) Contract in her individual name. She wanted to retire and sell her practice to a third party but prior to doing so, she needed to incorporate her practice into a limited company. Given that a PDS contract is non-transferable, the Client needed the cooperation of the Primary Care Trust (PCT) in order to transfer to a limited company. If this proved possible, the client wanted to incorporate all her business assets and the practice premises into the limited company and then sell the shares in that limited company to the third party buyer.

Client retains the goodwill of her practice, worth hundreds of thousands of pounds
The Client was the principal of a dental practice when she discovered that the Primary Care Trust (PCT) had wrongly issued the NHS contracts for the practice in the associate’s name, rather than her own. This meant that if the associate decided to leave with the contracts, the Client could lose the goodwill of the practice, worth hundreds of thousands of pounds.

Bespoke associate agreement drafted for client
The Client was buying a dental practice and the seller was to become the associate at the practice. The Client wanted an associate agreement drawn up in order to regulate the relationship between himself and the associate, and to avoid any possible employment
disputes. He wanted the agreement to include his own obligations and those of the associate, whilst also reflecting how he would run his practice.
